CypherMeet — Terms & Conditions (Terms of Service)

Patna – 800001, Bihar, India ("we", "us", "our").

These Terms govern your use of the CypherMeet website, accounts, subscriptions, and
services (together, the "Service"). Your use of the installed software is also
governed by the End User License Agreement (EULA), and your data by the **Privacy
Policy**; all three together form your agreement with us. If any conflict arises about
the software licence itself, the EULA controls.
1. Acceptance
By creating an account, purchasing, downloading, or using the Service, you agree to these
Terms, the EULA, and the Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and able to form a binding contract. If you use the
Service for an organisation, you represent that you are authorised to bind it.
3. Accounts
3.1 You must provide accurate information and keep your credentials secure. You are
responsible for all activity under your account.
3.2 Notify us immediately of any unauthorised use. We are not liable for losses from your
failure to secure your account or device.
4. Licences, plans, and fair use
4.1 The Service is offered in tiers (e.g., Free Trial, Pro, Team/Commercial) with the
features and limits described at purchase. Software use is licensed under the EULA.
4.2 Personal to you. Individual licences and Team seats are personal to a single
named user, subject to the device and single-concurrent-session limits in the EULA.
Sharing, pooling, reselling, or transferring licences/seats between people is not
permitted.
4.3 We may enforce these limits technically (device/hardware binding, session control)
and may suspend accounts that breach them.
5. Fees, billing, renewals, and cancellation
5.1 Prices are shown at purchase and may include applicable taxes (e.g., GST).
5.2 Subscriptions renew automatically for the same period until cancelled. You can
cancel anytime before renewal; cancellation stops future charges and takes effect at
the end of the current period.
5.3 One-time / "Lifetime" purchases are billed once. "Lifetime" means the supported
lifetime of that software product; it does not guarantee perpetual updates, nor any
server-dependent feature (e.g., Cloud Sync, Managed AI), which remain subscription
services.
5.4 Managed AI plans are metered/capped; usage beyond your plan's limit may pause
until the next cycle or require a top-up.
5.5 BYOK: if you use your own API key, you pay your AI provider directly for usage;
those charges are not part of our fees and are your responsibility.
6. Refunds
Except where required by law or stated in our published refund policy, fees are
non-refundable. Where a refund policy applies (e.g., a trial period or a defined
money-back window), it will be stated at purchase and prevails for that transaction.
7. Acceptable use
You agree to use the Service only lawfully and in compliance with:
7.1 all applicable laws and regulations; and
7.2 the terms, policies, honor codes, and rules of any meeting, platform, employer,
institution, examination, interview, or other context in which you use it; and
7.3 any consent requirements for recording, transcribing, or processing others' audio or
content.
You must NOT: use the Service for unlawful purposes or to violate any third party's
rights or policies; reverse engineer, resell, or share licences except as permitted;
circumvent licensing, security, or usage limits; upload unlawful content; or use the
Service to build a competing product or training dataset. You are solely responsible for
your use, and we disclaim responsibility for any misuse.
8. Intellectual property
The Service, software, and all related IP are owned by us or our licensors and are
licensed, not sold. You retain ownership of content you create/upload; you grant us only
the limited rights needed to operate the features you use.
9. Third-party services
The Service integrates third parties (AI providers, payment gateway, cloud, email). Your
use of them is subject to their terms and privacy policies. We are not responsible for
third-party acts, outages, changes, pricing, or data handling.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND
(EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND
NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION, OR
THE ACCURACY OF AI OUTPUTS. YOU MUST REVIEW AND VERIFY OUTPUTS BEFORE RELYING ON THEM.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR
TOTAL AGGREGATE LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12
MONTHS BEFORE THE EVENT (OR INR 1,000 IF YOU PAID NOTHING). NOTHING LIMITS LIABILITY THAT
CANNOT BE LIMITED BY LAW.
12. Indemnification
You will indemnify and hold us harmless from claims, damages, and expenses (including
reasonable legal fees) arising from your use or misuse of the Service, your breach of
these Terms, your violation of law or third-party rights/policies, or content you process.
13. Suspension and termination
We may suspend or terminate your access for breach of these Terms, the EULA, or the law,
or for non-payment. You may stop using the Service anytime. Sections that by nature
survive (7, 8, 10, 11, 12, 14) survive termination. On termination, your right to use the
Service ends and you must uninstall the software per the EULA.
14. Governing law and disputes
These Terms are governed by the laws of India. Subject to applicable law, the courts at
Patna, Bihar, India have exclusive jurisdiction. Nothing limits your non-waivable
statutory consumer rights.
15. Changes
We may update these Terms; material changes will be notified via the website, app, or
email. Continued use after an update constitutes acceptance.
